Terms of Use

The rules for accessing and using the linqr.ai website and the Linqr platform: accounts, permitted use, intellectual property and liability.

These terms of use ("Terms") govern access to and use of the linqr.ai website and the Linqr platform (the "Service"), published by Linqr (see the Legal Notice). The financial terms of subscription are governed by the Terms of Sale.

Purpose

These Terms set out how the Service is made available and the conditions of use by the user (the "User"). Linqr is a B2B sales-prospecting platform that helps identify relevant companies and professional contacts and prepare outreach messages.

Acceptance of the Terms

Use of the Service requires full acceptance of these Terms. By creating an account or using the Service, the User acknowledges having read and accepted the Terms. Failing acceptance, the User must refrain from using the Service.

Access to the Service and account

The Service is intended for professional use and requires the creation of an account. The User undertakes to provide accurate information and to keep it up to date.

  • The User is responsible for keeping their credentials confidential and for any activity carried out from their account;
  • The User shall promptly inform Linqr of any unauthorised use of their account;
  • The Service is accessible 24/7, subject to maintenance operations and technical contingencies.

Compliant use and User obligations

The User undertakes to use the Service fairly, in accordance with its purpose, these Terms and applicable law.

When processing prospect data through the Service, the User acts as a data controller. It is for the User in particular to rely on an appropriate legal basis, to inform the data subjects, to honour their right to object, and to send solicitations only in compliance with the GDPR and the rules applicable to prospecting.

Prohibited uses

In particular, the User may not:

  • Use the Service for unlawful, fraudulent purposes or contrary to public order;
  • Send unsolicited solicitations in breach of the rules applicable to prospecting (spam);
  • Infringe the rights of third parties, in particular the right to personal data protection;
  • Attempt to access, without authorisation, parts of the Service, other accounts or the systems;
  • Extract, copy or reuse data or content of the Service on a massive or automated basis beyond the intended use;
  • Resell, sublicense or make the Service available to third parties without authorisation;
  • Distribute unlawful, defamatory content or content infringing intellectual property rights.

Intellectual property

The Service, its software components, its trademark, its interface and its content are the exclusive property of Linqr or its partners. The Terms grant the User a personal, non-exclusive and non-transferable right to use the Service for the duration of their subscription, excluding any transfer of ownership.

User content and data

The User retains ownership of the content and data they import or generate through the Service. The User grants Linqr a limited licence to host and process such content solely as necessary to provide the Service. The processing of personal data is governed by the Privacy Policy and the Data Processing Agreement.

Availability, maintenance and changes

Linqr strives to ensure the availability of the Service but cannot guarantee uninterrupted operation. The Service may be temporarily suspended for maintenance or for technical or security reasons. Linqr may change the features of the Service at any time.

Liability and warranties

The Service provides prospecting assistance based on data and automated processing: Linqr does not warrant the completeness or accuracy of the results, nor the achievement of any commercial outcome. The User retains control over decisions and the messages sent.

To the extent permitted by law, Linqr may only be held liable in the event of proven fault and such liability is limited to direct and foreseeable damages. Linqr is not liable for indirect damages (loss of revenue, customers or data).

Suspension and termination

In the event of a breach by the User of these Terms, Linqr may suspend or terminate access to the Service, after a formal notice that has remained without effect where the nature of the breach allows, without prejudice to any damages.

Personal data

The processing of personal data as part of the Service is described in the Privacy Policy and, for data processed on behalf of the User, in the Data Processing Agreement.

Changes to the Terms

Linqr may amend the Terms to reflect legal, technical or commercial changes. Users are informed of material changes by appropriate means. Continued use of the Service after the changes take effect constitutes acceptance.

Governing law and jurisdiction

These Terms are governed by French law. Failing an amicable resolution, any dispute will be submitted to the competent courts of Paris, subject to applicable mandatory rules of jurisdiction.
